Offering Increased to $500 Million in Response to Strong Investor Demand

NEW YORK, August 2, 2005 /PRNewswire-FirstCall via COMTEX/ -- SIRIUS Satellite Radio (Nasdaq: SIRI) today announced that it has sold $500 million principal amount of its 9-5/8% Senior Notes due 2013 to a limited group of initial purchasers. The offering size was increased today from $400 million in response to strong investor demand. The closing of the offering is expected to occur on Tuesday, August 9, 2005, subject to customary closing conditions.

The Senior Notes are unsecured obligations of the company. SIRIUS intends to use the net proceeds from the offering to redeem all of its outstanding 15% Senior Secured Discount Notes due 2007 and 141/2% Senior Secured Notes due 2009. The balance of the net proceeds will be used for general corporate purposes.

The notes are being offered by the initial purchasers solely to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States in compliance with Regulation S under the Securities Act.

The securities have not been registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States absent registration, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
